Welcome to the website operated by Everblue Properties LLC ("Everblue," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of everblueprops.com and any related pages, content, and features (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to your use of the Site. Reservations and stays at vacation rental properties we manage are also governed by separate booking terms provided by our reservations platform at the time of booking. Those booking terms control the rental relationship and any cancellation, payment, damage, and stay-related obligations.

1. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. Without limiting the foregoing, you agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;

  • Attempt to gain unauthorized access to any portion of the Site, related systems, or networks;

  • Interfere with or disrupt the operation of the Site, including by introducing viruses, malware, or other harmful code;

  • Scrape, harvest, or otherwise extract data from the Site through automated means without our express written permission;

  • Use the Site to send unsolicited commercial communications or otherwise engage in spam;

  • Circumvent, disable, or interfere with security-related features of the Site, including bot-protection measures;

  • Impersonate or attempt to impersonate Everblue, an Everblue employee, or any other person or entity;

  • Submit false or misleading information through forms or other inputs on the Site.

3. Intellectual Property

The Site and its entire contents, features, and functionality, including text, photographs, graphics, logos, designs, software, and the arrangement of the foregoing, are owned by Everblue Properties LLC, its licensors, or other providers, and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site without our prior written consent, except as expressly permitted by these Terms.

4. Submissions

If you submit information through any form on the Site (such as a contact, inquiry, or rental question form), you represent that the information you provide is accurate and that you have the right to provide it. You grant Everblue a non-exclusive, royalty-free, perpetual license to use the information for the purposes described in our Privacy Policy, including responding to your inquiry and operating our business.

5. Property Listings and Bookings

The Site may display vacation rental properties available for short-term stays. Listings, photographs, descriptions, availability, and pricing are provided for informational purposes and are subject to change without notice. We make reasonable efforts to keep listing information accurate but do not warrant that it is error-free or current at all times.

Bookings, payments, and authorization holds. When you make a booking, you authorize us and our payment processor (Stripe) and reservations platform (Guesty) to charge the payment method you provide for the amounts shown at checkout, which may include rent, fees, taxes, and any applicable deposit or authorization hold. Prices are shown in U.S. dollars. Cancellation, refund, deposit, and damage policies are set out in the booking terms presented at the time of reservation.

Any reservation or booking is a separate transaction processed through our third-party reservations and payment platforms and is governed by their terms and policies. By initiating a booking, you agree to those terms. Everblue is not responsible for a third-party platform's terms, policies, or processing of your transaction.

6. Promotional Codes and Discounts

From time to time we may offer promotional or discount codes ("Promo Codes"). Promo Codes are non-transferable, have no cash value, may not be combined unless we expressly allow it, apply only to eligible bookings, and may be limited to one per reservation. Promo Codes apply only to the amounts we specify (for example, the accommodation fare) and may exclude fees and taxes. We may modify, suspend, or cancel any Promo Code or promotion at any time. Promo Codes obtained through fraud, or used in violation of these Terms or the promotion's stated conditions, are void.

7. SMS / Text Messaging

If you opt in to receive text messages, your use of that service is also subject to the SMS terms summarized in our Privacy Policy. Consent to receive marketing texts is not a condition of any purchase. Message frequency varies, and message and data rates may apply. You may opt out at any time by replying STOP to any message, and reply HELP for assistance.

8. Third-Party Links and Services

The Site may contain links to, or integrate, third-party websites or services not owned or controlled by Everblue. We are not responsible for the content, privacy practices, or terms of any third-party site or service. Your interactions with third parties are solely between you and that third party.

9. Disclaimers

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Everblue disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will Everblue Properties LLC, its affiliates, or their respective directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation lost profits, lost data, or business interruption, arising out of or related to your access to or use of, or inability to access or use, the Site, even if we have been advised of the possibility of such damages. To the extent any liability cannot be excluded, our total aggregate liability arising out of or related to these Terms or the Site will not exceed one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Everblue Properties LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.

12. Changes to the Site and Terms

We may modify, suspend, or discontinue the Site or any portion of it at any time, with or without notice. We may also update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Everblue regarding your use of the Site and supersede any prior agreements on that subject.
